1. Legal Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and My House Padi Limited ("House Padi," "we," "us," "our"), governing your access to and use of the House Padi website, mobile applications, and related services (collectively, the "Platform").

By creating an account, accessing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

IMPORTANT: These Terms contain an arbitration agreement that requires the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions.

2. Eligibility

To use our Platform, you must:

  • Age: Be at least 18 years of age or the age of majority in your jurisdiction.
  • Capacity: Have the legal capacity to enter into binding contracts.
  • Residency: Be a resident of the Federal Republic of Nigeria or have a valid Nigerian address for property transactions.
  • Verification: Provide accurate, current, and complete information during the registration process and maintain the security of your credentials.
  • No Prior Suspension: Not have been previously suspended or removed from our Platform.

We reserve the right to verify your eligibility and reject your registration for any lawful reason.

3. Account Registration & Security

Landlord/Owner Accounts

Required verification:

  • Valid government-issued ID
  • Proof of property ownership
  • Bank account verification
  • TIN (for commercial landlords)

Tenant/Seeker Accounts

Required verification:

  • Valid government-issued ID
  • Employment verification
  • Phone number verification
  • Valid email address

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Property Listings

4.1 Listing Requirements

When listing a property on House Padi, you warrant that:

  • You are the legal owner or have explicit written authorization from the owner to list the property.
  • All information provided (price, location, features, amenities) is accurate and not misleading.
  • Photographs and videos accurately represent the current condition of the property.
  • The property complies with all applicable zoning, health, and safety regulations.
  • You have the legal right to rent or sell the property as advertised.

4.2 Prohibited Listings

The following property types are strictly prohibited:

Uncompleted buildings

Properties under litigation

Land without C of O

Properties in flood zones

Government-acquired land

Fake/phantom listings

4.3 Verification & Badges

Verified Badge: Properties that complete our 3-step verification process receive a "Verified" badge. Verification is not a guarantee of title perfection, but confirms we have received and reviewed documentation. We recommend independent legal due diligence.

5. Fees & Payments

5.1 Fee Schedule

5.2 Payment Terms

  • All fees are in Nigerian Naira (₦) and are non-refundable except as required by law.
  • Success fees are due within 7 days of lease execution or sale completion.
  • We do not hold rent proceeds. Payments are made directly between tenants and landlords.
  • House Padi is not a bank, escrow agent, or payment processor.

6. Padi Assist Services

Padi Assist is an optional premium service where House Padi facilitates property inspections, negotiations, and documentation. By purchasing Padi Assist:

  • You acknowledge our agents are facilitators, not your legal representatives.
  • Inspection reports reflect the property's condition at the time of inspection only.
  • We do not guarantee lease approval or successful negotiation outcomes.
  • Money-back guarantee applies if service standards are not met, claimed within 48 hours.

Important: Padi Assist is not a substitute for independent professional advice. For complex transactions, consult a lawyer or certified real estate professional.

7. Prohibited Activities

You may not use the Platform to:

Circumvent or disable our verification processes
Impersonate any person or entity
Post false, misleading, or fraudulent listings
Harass, intimidate, or threaten other users
Share contact information before in-app introduction
Use bots, scrapers, or automated access

Violation of prohibited activities may result in immediate account termination and legal action.

8. Dispute Resolution

8.1 Informal Resolution

Before filing any claim, you agree to attempt informal resolution by contacting our dispute team at disputes@myhousepadi.com. We will work to resolve the matter within 5 business days.

8.2 Mediation

If informal resolution fails, both parties agree to mediate in good faith through the Lagos Multi-Door Courthouse or other accredited mediation center before pursuing arbitration or litigation.

8.3 Arbitration

Any dispute not resolved through mediation shall be resolved by binding arbitration administered by the Lagos Court of Arbitration in accordance with its rules. Judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You agree to resolve disputes with us on an individual basis, and not as a class, consolidated, or representative action.

8.4 Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. The exclusive jurisdiction for any arbitration or litigation shall be Lagos State, Nigeria.

9. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • "As Is" Platform: House Padi is provided "AS IS" without warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • No Liability for Transactions: We are not party to any rental, sale, or other agreement between users. We are not responsible for the conduct of any user, property condition, or transaction outcome.
  • Cap on Liability: Our total liability shall not exceed ₦50,000 or the fees you paid us in the 12 months preceding the claim, whichever is greater.
  • Indemnification: You agree to indemnify and hold House Padi harmless from any claims arising from your use of the Platform or violation of these Terms.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so these limitations may not apply to you. You may have additional consumer rights under Nigerian law.

10. Termination

By You

You may terminate your account at any time via account settings. Listings will be deactivated. Fees already incurred remain payable.

By House Padi

We may suspend or terminate your account for violation of these Terms, fraudulent activity, or conduct that harms our Platform or users. Notice will be provided where possible.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be posted on the Platform and notified via email at least 14 days before becoming effective. Your continued use after the effective date constitutes acceptance of the modified Terms.
